Project Development and Licensing
- Advising on and handling procedures for investment policy approvals, construction permits, fire prevention and fighting approvals, and security and public order certifications for hotels and resort developments;
- Assisting with hotel classification and star-rating procedures, applications for domestic and international travel service licenses, and ancillary tourism-related licenses;
- Advising on legal requirements applicable to integrated entertainment complexes, convention and event centers, and conditional leisure businesses, including casinos and prize-based electronic gaming.
Operational Management and Brand Structuring
- Drafting, reviewing, and negotiating hotel management agreements (HMA) and franchising arrangements with international hotel operators and global hospitality brands;
- Advising on the development of standard operating procedures (SOPs), industry-specific internal labor regulations, and senior management governance frameworks;
- Assisting clients in managing legal and compliance risks during project operation, including disputes with management operators and brand partners.
Investment Structuring and Hospitality Asset Transactions
- Advising on ownership and operational models for resort real estate products, including condotels, shophouses, and officetels, in compliance with Vietnamese real estate and housing regulations;
- Assisting with procedures for the issuance of ownership certificates to secondary investors and addressing disputes arising from resort project management and operation;
- Conducting specialized legal due diligence for M&A transactions, project transfers, and strategic investments involving hotels, resorts, and leisure assets.
