Scope of services

Our Investment Advisory Services include:

Market Entry Strategy
  • Advising on applicable investment conditions and appropriate forms of investment, taking into account investors’ objectives, business models, and sector-specific regulatory requirements;
  • Advising on market entry strategies and optimal investment structures to align with the commercial and strategic objectives of foreign investors;
  • Conducting legal due diligence on investors and local partners, and assessing the legal feasibility of proposed investment locations.

Negotiation and Licensing
  • Representing or assisting investors in the negotiation and drafting of joint venture agreements, business cooperation contracts (BCCs), and other investment-related agreements;
  • Advising on and negotiating land lease agreements, factory lease agreements, project site lease arrangements, and other contracts arising during the investment preparation phase;
  • Advising on licensing procedures, and preparing and submitting applications for investment policy approvals and Investment Registration Certificates.

Operations and Regulatory Compliance
  • Advising on legal procedures and regulatory matters relating to the implementation of licensed investment projects;
  • Providing ongoing legal advice on issues arising during the operation and execution of investment projects in Vietnam;
  • Advising on and handling procedures for amendments to investment projects, including changes to objectives, scale, investment capital, implementation timeline, and project duration.

Restructuring, Transfer and Termination of Investment Projects
  • Advising on the transfer of all or part of investment projects, including transaction structuring and associated legal procedures;
  • Advising and assisting on legal issues relating to the restructuring, termination, and liquidation of investment projects in accordance with Vietnamese law.

Outbound Investment
  • Advising on legal conditions, scope, and structuring of outbound investments in alignment with corporate strategy, business models, and Vietnamese legal requirements;
  • Advising on, preparing, and implementing procedures to obtain Offshore Investment Registration Certificates, including subsequent amendments during project implementation;
  • Advising on legal issues relating to foreign exchange control, outbound capital transfers, profit repatriation, and reporting obligations to competent authorities;
  • Coordinating with local counsel and professional partners in host jurisdictions to support compliance with local regulations and the effective implementation of outbound investment activities.
