Our Mergers and Acquisitions (M&A) Services include:

M&A Transaction Structuring and Strategy

Advising on optimal M&A transaction structures and the selection of appropriate transaction forms, including share or equity interest transfers, asset acquisitions, spin-offs, consolidations, and mergers;
Assessing the legal, commercial, and tax implications associated with alternative transaction structures;
Conducting legal due diligence on target companies, assets, or projects;
Identifying and evaluating material legal risks that may affect transaction valuation, feasibility, and completion.

Negotiation and Drafting of Transaction Documents

Participating in negotiations and drafting preliminary transaction documents, including term sheets, memoranda of understanding (MOUs), and non-disclosure agreements (NDAs);
Drafting, reviewing, and negotiating definitive transaction documents, including share or equity purchase agreements, merger or consolidation agreements, and other instruments relating to M&A transactions;
Advising on key transaction provisions, including representations and warranties, indemnities, conditions precedent, and remedies for breach, with a view to protecting clients’ legal and commercial interests.

Transaction Completion and Post-Closing Matters

Representing and assisting clients in implementing closing and completion procedures before relevant regulatory and licensing authorities;
Advising on legal matters arising from ownership transfer, post-acquisition takeover, and integration or operation of the acquired business;
Supporting post-transaction legal risk management, including compliance with and enforcement of obligations under executed M&A agreements.
